7.1 Payment terms
Invoices are payable within sixty (60) days of receipt by the Customer, without set-off.
12.3 Term and renewal
This Agreement renews automatically for successive twelve (12) month terms unless either party gives written notice at least ninety (90) days before the end of the then-current term.
18.2 Limitation of liability
Each party's aggregate liability under this Agreement shall not exceed the fees paid in the preceding twelve (12) months.
22.1 Governing law
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Liability is limited to 12 months of fees. Your standard terms ask for 2x annual fees, so a large loss would be mostly uncovered.

Your documents and systems
We connect to where your contracts already live: shared drives, email attachments or a document system.
The system extracts parties, dates, payment terms, termination and liability clauses, and compares them against your own standard positions.
Reviewers see a summary with every flag linked to the source page, so checking takes seconds.
Out
Your team reviews and approves
Contracts pile up faster than anyone can read them. Renewal dates slip, auto-renewals roll over, and unusual liability language gets signed because nobody had time for page 38.

Does it replace a lawyer?
No. It does first-pass reading and organization so your lawyer or manager spends time on judgment, not scanning.
Can our contracts stay on our own servers?
Yes. The system can run fully on-premise with no outbound internet access.
Which document types does it handle?
PDFs, Word documents and scanned pages. Scans go through OCR first.
